Chapter 1       General Provisions

Article 1        Application of Terms and Conditions

1. NTT-IT Corporation ("NTT-IT") provides the Remote Conferencing Service prescribed by the Remote Conferencing Service Terms and Conditions ("Terms and Conditions"), excluding the provision of services prescribed by other terms and conditions and fee schedules from NTT-IT.

2. The Terms and Conditions shall apply to the Subscriber, Conference Room Administrator, Conference Participants and Reseller, as defined by NTT-IT in Article 3 of the Terms and Conditions.

Article 2        Amendment of Terms and Conditions

NTT-IT reserves the right to amend the Terms and Conditions without the prior assent of the Subscriber, Conference Room Administrator, Conference Participants, Reseller and Agency. In the event of any such amendments, all fees and other terms of provision shall be prescribed by the amended Terms and Conditions.

Article 3        Definition of Terms

The following definitions shall apply to the Terms and Conditions.

Term Definition
MeetingPlaza Remote Conference Room System A Web-based system operated by NTT-IT that provides Remote Conference Room features and a Conference Reservation Service used to register and make changes to a conference.
Remote Conference A conference in which multiple Conference Participants in remote locations use terminals such as PCs with their own network connections to mutually exchange data such as voice, video, text, files, electronic whiteboard drawing data, and Web URL data. Further, conferences include 1). Conferences that are held under audio exclusively as Telephone Connection Service shown below; 2). Conferences that are held as Video Conferencing Terminal Connection Service uses audio and video.
Remote Conferencing Service The Remote Conferencing Service provided by NTT-IT to its Subscribers, as described in Article 4 of the Terms and Conditions..
Remote Conference Room A virtual conference room provided by the Remote Conferencing Service.
Adhoc Room A virtual conference room provided by the Remote Conferencing Service without prior reservation to enter conference. A subscriber can create several Adhoc Rooms.
Conference Reservation Service A service for implementing Remote Conference reservations and Remote Conference schedule management. Includes an address book system for efficient reservation and registration of Remote Conferences.
Adhoc Room Service A service for creating and managing the Adhoc Room.
Telephone connection service A service which allows telephone voice from landline, mobile and other telephones to participate in a conferences provided by a Conference Reservation Service or the Adhoc Room service.
Video conferencing terminal connection service A service which connects to conferences provided the Conference Reservations Service or the Adhoc Room Service with the MeetingPlaza Connector (described later). Only audio and video are available. To use "MeetingPlaza Connector", an extra charge is required for each connector.
Conference Implementation Service A service for the distribution of voice, text, video, file sharing data, and other data, which are exchanged in order to establish a Remote Conference.
Subscriber An organization or individual who has entered into a Remote Conferencing Service Agreement ("Service Agreement") with NTT-IT, as prescribed by the Terms and Conditions. Each Subscriber shall designate a Conference Room Administrator who is responsible for managing the Account held by the Subscriber.
Conference Room Administrator An individual designated by the Subscriber, who is responsible for managing Adhoc rooms, implementation of conference reservations and management of users, etc.
Conference Participant A participant of a Remote Conference who is designated by the Conference Room Administrator. The Conference Participant shall receive an Adhoc room URL and temporary user ID and password from NTT-IT, which are used to log in to the Remote Conference Room. The Conference Participant accesses the URL to take part in the conference. Depends on Conference Room Administratorís configuration, users may attend the conference without login user ID or password. By receiving Identification Number for Telephone Connection from NTT-IT, users may call in to attend a conference by phone. Likewise, users may join the conference by MeetingPlaza Connector (shown below).
User A general term for Conference Room Administrators and Conference Participants.
Account The basic unit by which NTT-IT provides the Remote Conferencing Service. Each Subscriber is assigned one Account. When the Subscriber enters into the Service Agreement, the Subscriber receives a user ID and password used to log in to the Conference Reservation Service.
Conference URL A URL that is accessed in order to participate in a Remote Conference. The Conference Reservation Service issues the Conference URL to Conference Participants by E-mail.
Adhoc Room Login URL A URL that is accessed in order to participate in the Adhoc Room. Depends on Authorized Usersí configuration, the URL will be sent to conference participants by E-mail.
Identification number for telephone connection Identification number to participate in a conference room with telephones is also used to specify the conference rooms with the "MeetingPlaza Connector" (described later)
Private Terminal Equipment Terminal equipment such as PCs, which Conference Participants are responsible for providing on their own.
Telephone Gateway Device for the destination host that the telephone connection service users to connect to an access point. After connection completion, an Identification number is required to enter the conference.
Video conferencing terminal Video conferencing terminal to communicate by H.323 protocol.
MeetingPlaza Connector It is a USB thumb drive to connect a video conferencing device to the Remote Conference Room via the connector. It is plugged into a computer, which allows Video conferencing terminals to connect to a MeetingPlaza meeting. To use "MeetingPlaza Connector", extra charge is required for each connector.
Remote Conference Client Program A program provided by NTT-IT that runs on the Private Terminal Equipment. The Remote Conference Client Program provides the Remote Conferencing Service, and is automatically downloaded and installed when the Conference URL is accessed.
MeetingPlaza System Equipment Infrastructure operated by NTT-IT in order to provide the Remote Conferencing Service. This shall consist of server machines, network equipment used to connect to the Internet, the networks made up by the network equipment, and software.
Initial Agreement Period The period starting from the first day of the agreement through to the conclusion of the agreement, as defined in Article 13 of the Terms and Conditions.
Extended Agreement Period The period of agreement that is automatically extended upon completion of the Initial Agreement Period.
Consumption Tax The Consumption Tax imposed under Item No. 108 of the Consumption Tax Law (1988) and prescribed by related laws and regulations, and the local Consumption Tax imposed under Item No. 226 of the Local Taxes Act (1950) and prescribed by related laws and regulations.
Reseller A Reseller of the Remote Conferencing Service. NTT-IT may designate a reseller as the recipient of the payment by a Subscriber.
Agency An Agency who sells the Remote Conferencing Service as a contractor to NTT-IT.
AP Sharing AP Sharing is a function that NTT-IT provides in the Remote Conferencing Service. AP Sharing provides functionality for users as if they share an application program running on a PC (master client). The application only runs on the master client. The image rendered on the master client and mouse and keyboard input are shared by other PCs (slave client) by transmitting the image and inputs.

Chapter 2       Remote Conferencing Service

Article 4        Contents of Remote Conferencing Service

The Web-based Remote Conferencing Service is provided to the Subscriber using the MeetingPlaza System Equipment operated by NTT-IT. Upon entering into the Service Agreement with NTT-IT, the Subscriber uses the Internet to connect to the MeetingPlaza System Equipment operated by NTT-IT, and is afforded the right to carry out remote conferencing.

The Subscriber designates a Conference Room Administrator at the time of application..

The Conference Room Administrator implements the conference reservations.

The Conference Room Administrator can designate the Conference Participants at his discretion for each conference. In addition, users that are regularly attending Adhoc Rooms may be registered and Identification Numbers for Telephone Connection are eligible for registration and verification.

Conference Participants shall be sent an E-mail containing the Conference URL, identification number for telephone connection, and the temporary user ID and password used to log in to the Remote Conference. Further, at Adhoc Room, distribution of login user ID and password, and Adhoc Room Login URL is available to access.

To enter the Remote Conference Room, the Conference Participant accesses the Conference URL and enters the user ID and password.

To enter the Adhoc Room, the Conference Participant accesses the Adhoc Room Login URL and enters the user ID and password. Depends on Conference Room Administratorís configuration, conference participants may access the Adhoc Room without user ID and password.

To enter the Remote Conference Room by telephone, dial in to the Telephone gateway, After connection is completed, enter an identification number.

To enter the Remote Conference Room using a video conferencing terminal via the "MeetingPlaza Connector", dial identification number of the computer where the "MeetingPlaza Connector" is plug in to.

The Remote Conference Room is exited by ending access to the Conference URL. This is accomplished by accessing a different URL or closing the browser used to access the Conference URL. The Adhoc Room is exited by ending access to the Adhoc Room login URL.

To exit the Remote Conference Room during a telephone connection, click off the phone.

To exit the Remote Conference Room during connecting with "MeetingPlaza Connector", disconnect the video conferencing terminal being used.

Chapter 3       Terms and Conditions

Article 5        Method of Subscribing

When applying to enter into a Service Agreement with NTT-IT, the applicant shall designate a Conference Room Administrator and forward the application form to the address designated by NTT-IT.

Article 6        Acceptance of Application for Service Agreement

1. NTT-IT shall accept applications to enter into a Service Agreement in the order they are received. NTT-IT shall send the applicant a MeetingPlaza Service Commencement Notice that describes the commencement date for the service. By receiving this notice, the Subscriber enters into the Service Agreement with NTT-IT.

2. Irrespective of the provisions in the preceding Item No. 1, NTT-IT reserves the right to refuse to accept an application to enter into a Service Agreement, or to delay its acceptance, in the following situations. Upon acceptance of the application by NTT-IT, the Subscriber enters into the Service Agreement with NTT-IT.

a. There are unforeseen circumstances resulting in technical barriers that prevent NTT-IT from issuing a new Service.

b. An applicant for a Service Agreement has failed to pay fees for the Remote Conferencing Service in the past, or is likely to fail to pay such fees in the future.

c. There are other serious obstacles preventing NTT-IT from carrying out its business.

3. If an application for a Service Agreement is refused or its acceptance delayed, the applicant shall be notified of the reasons for said refusal or delay. In the event of a delay, the application shall be notified of the probable time frame in which the application will be accepted.

4. All further notification to the Subscriber as prescribed by the Service Agreement shall be forwarded to the address or addresses provided by the Subscriber in the application form.

Article 7        Notification of Account

When an application to enter into a Service Agreement is accepted, NTT-IT shall send the Subscriber a MeetingPlaza Service Commencement Notice that describes the commencement date for the service. The Conference Room Administrator's ID and a temporary password shall be sent to the Conference Room Administrator by E-mail.

Article 8        Application of Terms and Conditions to the Conference Room Administrator and Conference Participants

Under the Account held by the Subscriber, the Subscriber shall assume all responsibility for ensuring that Conference Participants and the Conference Room Administrator designated by the Subscriber fully abide by the obligations set forth by the Terms and Conditions and the Service Agreement.

Article 9        Subscriber Obligation to Manage Account

1. The Subscriber and Conference Room Administrator shall be responsible for managing the Account in such as way as to prevent inappropriate use of the Account.

2. The Subscriber and Conference Room Administrator shall take due care to prevent the theft of the Account password, by such means as regularly changing the password and using a character string that is not recognizable to a third party.

3. NTT-IT assumes no responsibility in the event of any and all types of damages resulting from a failure to comply with the obligations set forth in the preceding Item No. 1 and No. 2 on the part of the Subscriber or Conference Room Administrator.

4. If the Subscriber or Conference Room Administrator suspects that an Account is being or may be used in an inappropriate manner, the Subscriber or Conference Room Administrator shall immediately notify NTT-IT and follow the instructions provided by NTT-IT.

5. The Subscriber and Conference Room Administrator are obliged to prevent the identification numbers for the Telephone Connect Service from leaking.

Article 10    User Obligation to Manage Conference URLs

1. Users shall be responsible for managing conference URL, identification numbers for telephone connection, temporary user IDs and passwords used to participate in Remote Conferences, in such a way as to prevent their being obtained by a third party. Users shall also be responsible for managing Adhoc Room login URL, user IDs and password, identification numbers for telephone connection used to participate in Adhoc Rooms.

2. NTT-IT assumes no responsibility in the event of any and all types of damages suffered by the Subscriber or Users, as a resulting of a failure to comply with the obligations set forth in the preceding Item No. 1 on the part of a User.

3. Users shall abide by all other obligations set forth in the Terms and Conditions and Service Agreement.

Article 11    Types of Service Agreements

There are several types of Remote Conferencing Services that are based on the number of conference participants allowed and hours of use, as described in MeetingPlaza homepage.

Article 12    Contractual Unit

The contractual unit shall encompass one Account to be issued for every Service Agreement.

Article 13    Agreement Period

In case of service plan "Flex2"

The agreement period shall be counted starting from the commencement date on which NTT-IT provides the Remote Conferencing Service to the Subscriber, and shall end on the last day of the same month when the starting date is the first day of the month or the next month when the starting date is the second day of the month or later. This period shall be the Initial Agreement Period.

In case of any service plan except "Flex2"

The agreement period shall be counted starting from the commencement date on which NTT-IT provides the Remote Conferencing Service to the Subscriber, and shall end on the last day of the month containing the 365th day of service (or 366th day of service in a leap year). This period shall be the Initial Agreement Period.

Note: For example, if the service is provided starting from June 5, 2001, the agreement period shall be through June 30, 2002. If the service is provided starting from July 1, 2001, the agreement period shall be through June 30, 2002, which is the 365th day after service commenced.

Article 14    Automatic Extension of Agreement

Upon conclusion of the Initial Agreement Period, the agreement shall be automatically renewed every subsequent month. This period shall be referred to as the Extended Agreement Period.

Article 15    Changes to Agreement

The Subscriber reserves the right to request a change to the type of Service Agreement with NTT-IT, which may be subject to a service plan change fee. Said changes are implemented by forwarding the Service Plan Change Request form to the address designated by NTT-IT.

Article 16    Prohibition of Transfer of Rights Afforded by Agreement

The Subscriber is prohibited from transferring to another party the right to receive the Remote Conferencing Service.

Article 17    Inheritance of Subscriber Status

In the event that there is an inheritance of the Subscriber status as a result of a corporate merger or acquisition, the successor or surviving corporation or the corporation established by the merger shall provide written notification thereof to NTT-IT, together with documentation providing evidence of said corporate merger or acquisition.

Article 18       Changes to Subscriber Name, Invoice Forwarding Address, and Other Subscriber Information

1. In the event of a change to the Subscriber name, Subscriber address, or invoice forwarding address, the Subscriber shall promptly notify NTT-IT thereof.

2. Upon receiving notification as described in the preceding Item No. 1, NTT-IT may request documentation providing evidence thereof.

3. In the event of a change to the Subscriber address, NTT-IT shall forward all subsequent Subscriber notices to the new address. In the event that the Subscriber fails to notify NTT-IT of an address change, NTT-IT shall bear no responsibility in the event of losses resulting from notices forwarded to the previous address of the Subscriber.

Article 19    Termination of Service Agreement

1. The Subscriber reserves the right to cancel the Service Agreement at any time by submitting written notification forwarded to the address designated by NTT-IT.

2. Upon termination of the Service Agreement, the Subscriber may be subject to a contract termination fee payable to NTT-IT.

3. Upon receiving the Service Termination Notice, NTT-IT shall terminate the Service Agreement and the Subscriber shall forfeit the right to receive the Remote Conferencing Service.

4. Irrespective of any termination of the Service Agreement, the Subscriber or Users shall not provide a third party with Conference URLs and other information supplied by NTT-IT in conjunction with the Remote Conferencing Service, without first receiving the express consent of NTT-IT.

5. NTT-IT does not refund any payment.

Article 20    Use of Remote Conference Client Program

The Remote Conference Administrator and Users are granted the right to use the Remote Conference Client Program in accordance with the separate MeetingPlaza 2D Browser End-user License Agreement.

By downloading the Remote Conference Client Program, the Remote Conference Administrator and Users enter into the MeetingPlaza 2D Browser End-user License Agreement with NTT.

The Remote Conference Administrator and Users agree to abide by the provisions of the MeetingPlaza 2D Browser End-user License Agreement.

Article 21    Hours of Use

The Remote Conferencing Service shall be available for use at all hours, except as prescribed in Article 40 of the Terms and Conditions.

Article 22    Entering and Exiting the Remote Conference Room or the Adhoc Room

A Conference Participant is free to enter and exit the Remote Conference Room during the period in which it has been reserved.

A Conference Participant who has been designated by the Conference Room Administrator as a Conference Participant to the Adhoc Room is free to enter the Adhoc Room while no Remote Conference is scheduled.

In case of Remote Conferencing Service Plans "Unlimited Light", "Unlimited Regular" and "Unlimited Super", the maximum duration of use for a single connection is 12 hours. If the hours of use exceed 12 hours, the connection may be automatically killed.

Article 23    Measurement and Calculation for Hours of Use

In case of any service plan except "Flex2":

In these service plans, the usage of a single conference is calculated regardless the number of participants. The total hours of use are calculated based on remote conference room meeting time and Adhoc Room usage time.

The Remote Conferencing Service hours of use for a single conference are measured from the point at which the first Conference Participant enters the Remote Conference Room, until each and every Conference Participant has exited the Remote Conference Room. Should all the Conference Participants exit the Remote Conference Room, and one or more Conference Participants reenter the Remote Conference Room at a later point, the hours of use are calculated for the full continuous period including the time in which all Conference Participants were absent. In addition, Adhoc Room hours of use are the total hours and minutes that users access to an Adhoc Room.

The monthly hours of use shall consist of the total hours of use for the Remote Conferencing Service and Adhoc Room Service in a month, rounded down to the nearest hour.

If a single conference begins in one month and ends in the next month, the hours of use are tabulated in the month in which the conference began.

Services that do not accompany the actual Remote Conferencing Service, such as conference reservations and use of the address book, are not calculated as part of the hours of use.

Use of the public conference room, which is made available for the connection testing and verification of the client side operation, is not calculated as part of the hours of use.

In case of service plan "Flex2":

In "Flex 2" service plan, the usage for a single conference is calculated as the summation of the length of time between the time of entering the remote conference room and Adhoc room and the time of exiting from the remote conference room and Adhoc room for each participant.

If a participants repeatedly entering and exiting, then the actual length of time for the participant being in the conference room is used.

If a single conference begins in one month and ends in the next month, the hours of use are tabulated in the month in which the conference began.

Services that do not accompany the actual Remote Conferencing Service, such as conference reservations and use of the address book, are not calculated as part of the hours of use.

Use of the public conference room, which is made available for the connection testing and verification of the client side operation, is not calculated as part of the hours of use.

Article 24    Obligations of Subscriber Pertaining to Use of Service

1. In addition to other activities prescribed in the provisions of the Terms and Conditions, the Subscriber shall refrain from the following activities.

a. Unauthorized intrusion upon MeetingPlaza system equipment operated by NTT-IT in conjunction with provision of the Remote Conferencing Service, or any attempts thereof.

b. Any activity that hinders the ability of NTT-IT to provide the Remote Conferencing Service in a smooth and efficient manner.

c. Any activity that damages the credibility of the Remote Conferencing Service provided by NTT-IT.

d. Any activity that violates the copyrights, privacy, or other rights of another party, or any activity that entails such a risk.

e. Use of the Remote Conferencing Service in a manner that is contrary to public policy and other laws and regulations, or entails such a risk.

f. The act of passing on to a third party any information supplied by NTT-IT in conjunction with provision of the Remote Conferencing Service, without the express consent of NTT-IT. This shall not apply to information that has already been made available to the public by NTT-IT.

g. Any other activity deemed by NTT-IT to be inappropriate.

2. The Subscriber shall be responsible for ensuring that the Conference Room Administrator and Users abide by the restrictions prescribed in the preceding Item No. 1.

3. In the event that a User, Conference Room Administrator or Subscriber causes NTT-IT to incur damages as a result of actions that are in violation of the preceding Item No. 1 and Item No. 2, NTT-IT shall secure compensation from the Subscriber for said damages. This compensation shall take the form of costs necessary to rectify said damages, which shall be payable on the date designated by NTT-IT.

Article 25    Suspension of Service by NTT-IT

1. NTT-IT reserves the right to temporarily suspend use of the Remote Conferencing Service on the part of the Subscriber, Conference Room Administrator and Users, in the following situations.

a. Failure by Subscriber to pay fees or fulfill other obligations by the payment due date.

b. Violation of the provisions prescribed in Article 24 of the Terms and Conditions (Obligations of Subscriber Pertaining to Use of Service) on the part of a Subscriber, Conference Room Administrator or User.

c. In addition to the preceding Item b, any activity that seriously interferes with the ability of NTT-IT to carry out tasks in conjunction with the Remote Conferencing Service, or seriously interferes with MeetingPlaza System Equipment operated by NTT-IT, or entails such a risk.

2. In the event that NTT-IT suspends the Remote Conferencing Service as prescribed in the preceding Item No. 1, the Subscriber will receive prior notification of the reason, date, and effective period of service suspension.

Article 26    Termination of Service Agreement by NTT-IT

1. NTT-IT reserves the right to terminate the Service Agreement in the event that the Subscriber fails to remove the factors leading to the suspension of service as prescribed in Article 25 of the Terms and Conditions (Suspension of Service by NTT-IT).

2. In the event that the Subscriber is found to be in violation of any of the provisions of Article 25 of the Terms and Conditions (Suspension of Service by NTT-IT), and in the event that the factors leading to the suspension of service are deemed to have a particularly serious effect on the ability of NTT-IT to carry out its business, NTT-IT shall reserve the right to immediately terminate the Service Agreement, irrespective of the preceding Item No. 1.

3. In the event that the Service Agreement is to be terminated as prescribed in the preceding Item No.1 or No.2, NTT-IT shall provide advance notification to the Subscriber. If, for whatever reason, the Subscriber fails to receive the notice, the Service Agreement will be automatically terminated after ten days have passed from the date on which the notice was forwarded.

4. NTT-IT may immediately terminate the Service Agreement in whole or in part, without any notice, when the Subscriber comes under any of the following subparagraphs:

a. The Subscriber is in the process of bankruptcy proceedings, civil rehabilitation proceedings, corporate reorganization procedure, special liquidation or conciliation, or requests business reconstruction procedure or similar private rehabilitation procedures based on authorized Alternative Dispute Resolution with law enforcement or government agencies.

b. The Subscriber suspends a payment or become insolvent, or receive dishonor penalty or suspension of transaction final notice from the clearing house (based on the terms and agreement of Electronically Recorded Monetary Claims, any equivalent notice to dishonor penalty or suspension of transaction satisfies the requirement of this section).

c. The Subscriber is in the conjunction with a third party for provisional seizure, provisional disposition or order of sequestration, and other enforced execution or auction, or delinquency penalty of taxes and interests due government or local authorities.

d. The Subscriber receives an order of revocation or cancellation of business from the competent authorities.

e. The Subscriber is considered a member of anti-social forces or equivalent criminal organizations.

5. NTT-IT reserves the right to immediately terminate or suspend the subscriberís service and request a full payment per contract states without advanced notice to the Subscriber. Cause for such termination, suspension or change should include, but not limited to reasons listed in Item No.4 hereby.

Article 27    AP Sharing

1. Users must confirm that the licensing condition of the application program that the users are going to share permits the users to use it with AP Sharing.

2. Users agree to take the sole responsibility in using AP Sharing with application programs in terms of the license. In no event will NTT-IT be liable to you or licensor of the application program in accordance with AP Sharing.

Chapter 4       Fees and Other Charges

Article 28    Obligation for Payment of Fees

TThe Subscriber shall be responsible for the payment of fees in accordance with the Terms and Conditions.

Article 29    Fees

Fees shall consist of the setup fee, monthly subscription fee, and monthly usage fees.

If the hours of use in a month are less than the hours included in the service plan, no monthly usage fee will be charged. If the hours of use in a month exceed the hours of use included in the service plan, monthly usage fees will be charged in accordance with the number of hours that exceed the hours of use included in the service plan.

If the commencement date for provision of the Remote Conferencing Service falls on any day other than the first day of the month, a single monthly subscription fee will be charged for the month of commencement and the following month. The monthly usage fee will be charged according to the total number of hours over the entire period that are in excess of the hours of use allotted by the service plan for a one-month period.

For Service Plans "Unlimited Light", "Unlimited Regular" and "Unlimited Super", the monthly usage fee is not charged.

For the telephone connection service, the charges for call are paid by the participants' separately from the fee for the Remote Conferencing Service. The charges for call are invoiced by the carrier which the participants are using. The details are shown in MeetingPlaza homepage.

Article 30    Prepayment of Monthly Subscription Fees

Prepayment for one year of monthly subscription fees entitles the Subscriber to a discount from the monthly subscription fee.

Article 31    Service Agreement Termination Fees and Method of Calculation

1. In the event of termination of the Service Agreement during the Initial Agreement Period in which the monthly subscription fees have been paid on a monthly basis and not prepaid, the Subscriber shall pay NTT-IT a termination fee. This termination fee shall be equivalent to the sum calculated by adding the monthly subscription fee for the month in which the termination request was made, the monthly usage fee in full, and the monthly subscription half of fees for the months remaining in the Initial Agreement Period.

2. In the event of termination of the Service Agreement during the Extended Agreement Period in which the monthly subscription fees have been paid on a monthly basis and not prepaid, the Subscriber shall pay a full subscription fee and the monthly usage fee in full for the month in which the termination request was made.

3. In the event of termination of the Service Agreement in which the monthly subscription fees have been prepaid, NTT-IT does not refund the prepaid subscription fees.

Article 32    Service Plan Change Fees and Method of Calculation

1. In the event that the service plan is changed to a plan with a higher monthly subscription fee, the monthly subscription fee and monthly usage fees for the new plan apply to the month in which the change was made.

2. In the event that the service plan is changed to a plan with a lower monthly subscription fee, the monthly subscription fee and monthly usage fees for the previous plan apply to the month in which the change was made.

3. In the event that the service plan is changed to lower monthly subscription plan during the Initial Agreement Period, the Subscriber pays a service plan change fee equivalent to half of the difference between the previous monthly subscription fee and the new monthly subscription fee for the remainder of the Initial Agreement Period, excluding the month in which the service plan was changed. In the event that the service plan is changed on the first day of the month, the Subscriber pays a service plan change fee equivalent to half of the difference between the previous monthly subscription fee and the new monthly subscription fee for the remainder of the Initial Agreement Period.

4. If the service plan is changed during the Extended Agreement Period, no service plan change fee regarding monthly subscription fee shall apply. However, service plan change fee regarding setup fee may be incurred as written in No. 7 of this article.

5. In the event that the service plan is changed to a plan with a lower monthly subscription fee in which the monthly subscription fees have been prepaid, NTT-IT does not refund the difference between the monthly subscription fee.

6. In the event that the service plan is changed to a plan with a higher monthly subscription fee in which the monthly subscription fees have been prepaid, the Subscriber pays the difference in the total monthly subscription fees applying over the course of the agreement period.

7. In the event of a change to a service plan with a higher setup fee, the Subscriber shall be invoiced for an additional service plan change fee that is equivalent to the difference between the setup fees.

8. Service plan change from Flex 2 to other service plans is only allowed on the first day of each month. In this case, the Initial Agreement Period for the new plan is applied starting the day of the plan changing.

9. You can change Service plan from Flex 2 to others but you cannot change Service plan from a plan other than Flex 2 to Flex 2.

10. Service plan changes from "Unlimited Light", "Unlimited Regular", "Unlimited Super" to the other service plans and from plans other than "Unlimited Light", "Unlimited Regular", "Unlimited Super" to "Unlimited Light", "Unlimited Regular", "Unlimited Super", are only allowed on the first day of each month.

Article 33    Invoicing and Payment of Fees

The setup fee shall be invoiced together with the first monthly subscription fee and monthly usage fee.

If the Subscriber chooses to prepay the monthly subscription fees, the total prepaid monthly subscription fees will be invoiced together with the first monthly usage fee.

In case of payment on invoice:

The invoice for the monthly subscription fee and monthly usage fees will be issued during the middle of every month for the previous month of use.

The Subscriber is required to pay to NTT-ITís designated account by the end of the next month after receiving invoice. Any fee incurred due to payment is solely the Subscriberís responsibility.

In case of account transfer:

The invoice for the monthly subscription fee and monthly usage fees will be issued during the middle of every month for the previous month of use.

The Subscriber is required to make payment to NTT-IT as instructed on NTT-ITís account transfer guide.

Article 34    Payment Rediraction

NTT-IT may specify an agency as the recipient of payments. In this case, Subscribers shall pay the designated agency.

Article 35    Consumption Taxes

Fees do not include Consumption Taxes. The total amount including Consumption Taxes will be invoiced to the Subscriber.

Chapter 5       Additional Charges and Overdue Interest

Article 36    Additional Charges

In the event of unlawful non-payment of fees on the part of the Subscriber, the Subscriber shall pay the amount owing and an additional charge equivalent to twice the pre-Consumption Tax amount owed. Consumption Taxes shall be added to this amount.

Article 37    Overdue Interest

In the event of non-payment of fees or failure to fulfill other obligations (excluding overdue interest) by the payment due date, the Subscriber shall pay an overdue interest amount equivalent to a 14.5% annual rate of interest. The overdue interest shall be calculated for every day past the payment due date, until such time as payment is made. Nevertheless, payment that is made within 10 days from the next day of payment due date will not incur overdue interest.

Chapter 6       Maintenance

Article 38    Obligation of NTT-IT to Operate MeetingPlaza System Equipment

1. NTT-IT shall make every effort to ensure that the MeetingPlaza System Equipment is of a sufficient scale to provide a normal level of service for the Subscriber.

2. In the event that NTT-IT becomes aware of a malfunction with respect to the MeetingPlaza System Equipment, NTT-IT will make every effort to promptly repair or restore said equipment.

Article 39    Disclaimers

1. NTT-IT shall bear no responsibility in the event that the Remote Conferencing Service cannot be used, or there is a degradation of the audio quality, video quality, or transmission characteristics of the data transmission, as a result of the IP packet transmission characteristics or IP transmission quality between the terminal of a Conference Participant and the MeetingPlaza System Equipment.

2. NTT-IT shall bear no responsibility in the event that the Remote Conferencing Service cannot be used, or there is a degradation of the audio quality, video quality, or transmission characteristics of the data transmission, as a result of traffic exceeding the capabilities of the MeetingPlaza System Equipment, due to circumstances that cannot be foreseen by NTT-IT. However, this shall not apply in the event of gross negligence on the part of NTT-IT.

3. NTT-IT cannot guarantee the integrity, accuracy, reliability, or usability of content transmitted between Users using the Remote Conferencing Service.

Article 40    Suspension of Remote Conferencing Service

1. NTT-IT reserves the right to suspend the Remote Conferencing Service in the following situations.

a. Where unavoidable due to maintenance or construction on networks used by the MeetingPlaza server equipment and Remote Conferencing Service.

b. Where provision of the Remote Conferencing Service is impeded by acts of God, war, or other state of emergency.

c. Where provision of the Remote Conferencing Service is impeded in order to prioritize emergency communications that are in the interest of the public.

2. In the event that the Remote Conferencing Service is suspended as prescribed in the preceding Item No. 1, NTT-IT shall provide the Subscriber with prior notification thereof. However, this shall not apply in the event of an unavoidable emergency.

3. NTT-IT shall bear no responsibility in the event that the Subscriber suffers damages resulting from suspension of the Remote Conferencing Service. However, this shall not apply in the event of gross negligence on the part of NTT-IT.

Article 41    Limitation of Liability

1. With the exception of the provisions prescribed in Article 40, NTT shall offer a refund to the Subscriber in the event that the Remote Conferencing Service remains completely unusable for a continuous period of 120 hours or longer, measured from when NTT-IT first became aware of said situation. This shall apply only to those situations where NTT-IT is responsible for failing to provide the Remote Conferencing Service when it should have been provided.

2. In the event of the situation described in the preceding Item No. 1, NTT-IT shall calculate the number of twenty-four hour periods (days) in which the Remote Conferencing Service was completely unusable for a continuous period, starting from when NTT-IT first became aware of said situation. This calculation shall apply only to full twenty-four hour periods (days), and will in turn be used to calculate the total number of days of the Remote Conferencing Service to be refunded to the Subscriber. No other damages shall be paid beyond this amount.

3. Irrespective of damages incurred by the Subscriber or User, NTT-IT shall bear no responsibility for paying any sum in excess of the amount prescribed in the preceding Item No. 2.

Article 42    Responsibility of User to Maintain Equipment

The User shall be responsible for maintaining the normal operation of the Private Terminal Equipment so as not to affect the provision of the Remote Conferencing Service.

Article 43    Clarification of Subscriber Responsibility

1. In the event that the Remote Conferencing Service becomes unusable, the Subscriber shall verify that there is no failure with the Private Terminal Equipment or private telecommunication equipment, and shall further verify that there are no issues with the quality of the IP packet transmission to the MeetingPlaza system equipment. Only then shall the User request NTT-IT to carry out testing.

2. If NTT-IT determines that there is no failure with the MeetingPlaza system equipment further to the results of the testing described in the preceding Item No. 1, and if an employee dispatched in accordance with the request of the Subscriber finds that the cause of the failure lies with the Private Terminal Equipment or private telecommunication equipment, the Subscriber shall bear all costs and applicable Consumption Taxes associated with the dispatch of the employee.

Chapter 7       MeetingPlaza Connector

Article 44    Subscription of "MeetingPlaza Connector"

When applying to begin into or terminate a Service Agreement, a termination application form is required separately from the Remote Conferencing Service applicant form. The period of agreement is the same as in the case of the Service Plan "Flex 2". The license to use "MeetingPlaza Connector" is pursuant to MeetingPlaza 2D Browser End-user License Agreement.

Article 45    MeetingPlaza Connector Service Fees

The setup fee of 20,000 yen per unit and monthly subscription fee of 10,000 yen per unit, both of which do not include the pre-Consumption Tax, are added to the fee for the Remote Conferencing Service. The usage of the Remote Conference Room with "MeetingPlaza Connector" is calculated in the same way as usage with a computer. If the commencement date for provision of the Remote Conferencing Service falls on any day other than the first day of the month, a single monthly subscription fee will be charged for the month of commencement and the following month. The prepaid amount for one year of monthly subscription fees is 10,000 yen x 12 = 120,000 yen. Upon termination of the MeetingPlaza Connector Service Agreement, no contract termination fee shall apply. Additional charges and overdue interest are pursuant to the provisions set forth in Chapter 5.

Chapter 8       Miscellaneous Provisions

Article 46    Other Network Connections

Use of the Remote Conferencing Service may be subject to limitations prescribed by the laws and regulations of other countries, or by the Terms and Conditions of telecommunication providers in Japan and elsewhere.

Article 47    Notification to Users

1. In the following situations, NTT-IT will provide notification to the Conference Room Administrator using the E-mail address registered with NTT-IT.

a. Amendment of Terms and Conditions

b. Amendment of usage fees

c. Amendment of hours of use

d. Suspension of Remote Conferencing Service

e. Other situations determined by NTT-IT to require notification

2. The Subscriber agrees to immediately notify NTT-IT in the event of a change to the E-mail address originally registered with NTT-IT.

Article 48    Governing Law

The validity, interpretation, execution, and act of entering into the Service Agreement shall conform to the laws of Japan.

Article 49    Dispute Resolution

1. In the event of a dispute concerning the Service Agreement occurring between NTT-IT and the Subscriber, Conference Room Administrator, or User, the Subscriber and NTT-IT agree to negotiate a resolution in good faith.

2. In the event that a resolution cannot be negotiated, the Yokohama District Court shall have exclusive primary jurisdiction over any such dispute.
